These Terms of Service (“Terms”) govern your access to and use of AMTrades.com and any related websites, applications, or account-based features (collectively, the “Platform”), as well as The Expansion and any other free or paid content, communities, memberships, mentorship programs, tools, software features, resources, products, or services made available by AM Trades LLC (collectively, the “Services”).

AM Trades LLC is referred to in these Terms as the “Company,” “we,” “us,” or “our.” Services requiring payment are referred to as “Paid Services.”

By creating an account, accessing or using the Platform or Services, or purchasing any Paid Service, you acknowledge and agree to these Terms, our Return Policy where applicable, our Privacy Policy, and any additional terms presented to you in connection with a specific Service. If you do not agree to these Terms, you may not create an account, access, purchase, or use the Services.

1. Description of Services

The Company provides trading-related education and resources through the Platform. Services may include digital courses, written materials, private or public-facing communities, educational market commentary, live or recorded sessions, mentorship, tools, software features, account functionality, support, and other related resources.

Certain Services are available without payment, while others require a recurring membership, fixed-price purchase, or other payment arrangement. Access levels, features, duration, and benefits may vary depending on the Service or account type.

The specific features and benefits associated with a Paid Service are those described in the applicable product description or at checkout. Paid Services may include recurring memberships as well as fixed-price programs that provide immediate digital access together with ongoing mentorship, support, or other service-based benefits.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, purchase, or use the Services. By using the Platform or Services, you represent that you meet these requirements and that your use is permitted under applicable law.

You are responsible for providing accurate account information, maintaining the confidentiality of your login credentials, and protecting access to your account. Accounts and access rights are intended solely for your individual use and may not be transferred, shared, sold, or provided to another person. You are responsible for activity occurring through your account and should promptly notify the Company of suspected unauthorized access.

The Company may require reasonable account or purchase verification and may restrict, suspend, or close accounts created or used through false, misleading, fraudulent, abusive, or unauthorized means.

By maintaining an account, you agree that the Company may send you electronic communications reasonably necessary to operate the Platform or administer your account, including security, account, billing, access, and service-related notices. Marketing communications are subject to any separate consent requirements and applicable law.

3. User Content and Stored Account Data

Certain Platform features allow you to submit, upload, create, or store information or content, which may include a display name, profile image, notes, highlights, saved items, comments, preferences, and other information you choose to provide (“User Content”).

To the extent you own rights in your User Content, you retain those rights. By submitting or storing User Content through the Platform, you grant the Company and its service providers a limited, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display that User Content solely as reasonably necessary to operate, secure, maintain, and provide the Services. Where a feature is intended to make information visible to other users, such as a profile name or image, this license includes displaying that information as part of that feature.

You represent that you have the rights necessary to submit any User Content you provide. You may not submit or store content that:

Infringes another person's intellectual property, privacy, publicity, or other rights

Is unlawful, fraudulent, threatening, abusive, or otherwise prohibited by these Terms
Contains malicious code or is intended to interfere with the Platform
You are not legally authorized to possess, upload, or share

Platform features such as notes, highlights, bookmarks, saved items, and progress tracking are provided as convenience features. The Platform is not intended to serve as permanent archival or backup storage, and the Company does not guarantee indefinite preservation, availability, or recovery of stored information. You should maintain independent copies of information that is important to you.

If you voluntarily submit suggestions, ideas, or other feedback specifically to the Company for the purpose of improving the Services, the Company may use that feedback without obligation to compensate you. This does not give the Company a broader right to commercially use your private notes or other User Content merely because it is stored on the Platform.

4. Educational Purpose and No Financial Advice

The Services are provided solely for educational and informational purposes. Nothing provided through the Platform or The Expansion constitutes personalized financial, investment, trading, legal, tax, or other professional advice.

Market commentary, trade examples, educational frameworks, mentorship discussions, charts, analysis, or other information provided through the Services should not be interpreted as a personalized recommendation or instruction to buy, sell, or hold any financial instrument. The Company does not act as your broker, fiduciary, investment adviser, or financial adviser.

You remain solely responsible for evaluating information provided through the Services and making your own trading and financial decisions.

5. Trading Risk and No Guarantee of Results

Trading involves substantial risk and may result in significant financial losses. The use of leverage, futures contracts, funded trading programs, or other leveraged products may increase both potential gains and potential losses.

The Company does not guarantee:

Trading profitability or any particular financial result

Any specific win rate, return, or level of performance
Successful completion of a trading evaluation
Qualification for or retention of a funded trading account
Receipt of payouts from any proprietary trading firm
Any particular educational, professional, or business outcome

Past performance, examples, hypothetical results, simulations, backtests, case studies, or results achieved by the Company, its personnel, or other members are not guarantees of future performance. Your results will depend on numerous factors outside the Company's control, including your decisions, experience, execution, discipline, risk management, and market conditions.

6. Testimonials and Individual Results

Testimonials, reviews, case studies, trading results, payout results, performance examples, and other customer experiences displayed or referenced by the Company reflect the experiences of the individuals involved. They are provided for informational and illustrative purposes and do not constitute a promise, guarantee, or representation that you will achieve the same or similar results.

Individual results may vary substantially based on factors including experience, decision-making, execution, risk management, participation, market conditions, and other circumstances outside the Company's control. Results shown in testimonials or examples should not be interpreted as typical, expected, or guaranteed outcomes.

Any financial, trading, payout, or performance result attributed to a particular individual represents that individual's reported or documented experience and does not establish the results that another customer is likely to achieve. You should not make purchasing, trading, or financial decisions based solely on testimonials or individual performance examples.

7. User Responsibilities and Community Conduct

You are responsible for using the Platform and Services lawfully, responsibly, and in accordance with these Terms and any community rules made available to you.

You may not:

Harass, threaten, abuse, or intentionally disrupt other users, members, staff, or mentors

Spam, solicit, advertise to, or commercially target other users without authorization
Impersonate another person or misrepresent your identity
Share another person's private information or non-public communications without authorization
Use the Services for fraudulent, unlawful, or abusive activity
Interfere with the operation, security, or integrity of the Platform or Services
Attempt to gain unauthorized access to accounts, systems, content, or features
Use another person's account or permit another person to use yours

Harass, threaten, abuse, or intentionally disrupt other users, members, staff, or mentors

Spam, solicit, advertise to, or commercially target other users without authorization

You are also responsible for complying with the rules and terms of any broker, proprietary trading firm, financial platform, or other third party you choose to use. The Company is not responsible for violations of third-party rules resulting from your trading activity or decisions.

8. Intellectual Property and Limited License

All content and materials made available through the Platform or The Expansion, including videos, lessons, written materials, presentations, graphics, branding, course structures, tools, software, indicators, interfaces, recordings, proprietary resources, and other Company-created materials, are owned by or licensed to the Company and are protected by applicable intellectual property laws.

The fact that certain Company materials are available free of charge does not transfer ownership or waive any intellectual property rights.

Your authorized access grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable license to access and use the applicable materials solely for your own private educational use during the period in which you are authorized to access the Service. No ownership rights are transferred to you.

Unless expressly authorized in writing by the Company, you may not:

Copy, reproduce, publish, distribute, sell, sublicense, or commercially exploit Company materials

Share purchased or restricted content or account access with another person
Record, download, capture, or reproduce protected content for redistribution or unauthorized archival
Circumvent digital rights management, access controls, authentication systems, or other technical protections
Scrape, systematically extract, or create databases from Company content
Reverse engineer, decompile, disassemble, or attempt to derive the underlying functionality of proprietary Company tools or software, except where such restriction is prohibited by law
Remove copyright, trademark, ownership, or attribution notices
Use Company materials to create or distribute substantially copied or derivative commercial educational products

Copy, reproduce, publish, distribute, sell, sublicense, or commercially exploit Company materials

Share purchased or restricted content or account access with another person

Unless separate software terms are expressly presented, this section also governs your permitted use of software, tools, and digital features provided by the Company.

9. Purchases and Billing

Certain Services are available without payment. This section applies to Paid Services.

Payments for Paid Services are processed through Whop and its applicable payment or financing partners. By completing a purchase, you authorize the applicable payment provider to process the charges disclosed to you at checkout.

Recurring memberships may be offered on a monthly or quarterly basis and automatically renew at the applicable billing frequency until cancelled through Whop before the next renewal.

Certain Services, including mentorship programs, are sold for a fixed total purchase price. A fixed-price purchase may be paid in full or through financing or installment options made available through Whop and applicable third-party financing providers. Selecting financing or installments changes only the method or timing of payment and does not convert the purchase into a cancellable recurring subscription. You remain responsible for the full agreed purchase price subject to the applicable financing terms.

Paid access may require you to link, authenticate, or otherwise verify the Whop account or transaction associated with your purchase. You are responsible for providing the information reasonably necessary to verify your entitlement to Paid Services.

You are responsible for maintaining valid payment information and satisfying amounts owed under your purchase. Failed or past-due payments may result in suspension or termination of paid access in accordance with the applicable payment provider's terms and these Terms.

Deleting, abandoning, or ceasing to use your Platform account does not cancel a recurring subscription, fixed-price purchase, financing arrangement, or other payment obligation. Cancellations must be completed through the applicable process described in the Return Policy and through Whop where required.

10. Return Policy

All purchases, renewals, cancellations, refunds, duplicate charges, chargebacks, and related payment matters involving Paid Services are governed by the Company's Return Policy, which is incorporated into these Terms by reference.

You are responsible for reviewing the Return Policy before completing a purchase.

11. Third-Party Platforms and Services

The Services may depend upon or integrate with third-party platforms and providers, including payment and financing providers, authentication providers, community platforms, video-hosting services, cloud or technology providers, brokers, proprietary trading firms, financial or charting platforms, and other external services.

Your use of third-party services may be subject to separate terms, policies, eligibility requirements, fees, and rules established by those providers. The Company does not control third-party platforms and, to the extent permitted by law, is not responsible for their acts, outages, service interruptions, policy changes, account decisions, security incidents, or other matters outside the Company's reasonable control.

References or links to third-party products or services do not constitute a guarantee regarding their availability, performance, safety, or suitability.

12. Changes to the Services and Availability

The Company may update, modify, improve, replace, add, remove, or restructure aspects of the Platform or Services over time. This may include changes to educational content, tools, features, community structure, delivery methods, schedules, mentors, instructors, account functionality, or other components.

The Company may determine which features or Services are offered free of charge and which require payment, and may change access levels or feature availability prospectively. The availability of a feature without charge at one time does not guarantee that the feature will remain available without charge indefinitely.

The Company does not guarantee that every feature, resource, schedule, mentor, instructor, or other individual involved in providing the Services will remain unchanged for the duration of your access. Any specific commitments expressly made in an applicable product description, checkout terms, or separate written agreement remain subject to their terms and applicable law.

The Company may perform maintenance or experience interruptions affecting access. We do not guarantee uninterrupted or error-free availability of the Platform or Services and are not responsible for delays or interruptions caused by circumstances outside the Company's reasonable control.

13. Suspension and Termination

The Company may restrict, suspend, or terminate an account or access to any Service where permitted by these Terms and applicable law, including for:

Fraud or attempted fraud

Unpaid, reversed, or disputed amounts
A chargeback relating to a valid purchase
Account sharing or unauthorized access
Unauthorized copying, distribution, or misuse of Company materials
Circumvention of security or content-protection measures
Harassment, abuse, or serious community misconduct

A chargeback or payment dispute involving a valid purchase may also result in a permanent ban from purchasing or accessing the Company's products or Services, as described in the Return Policy.

Suspension or termination resulting from your violation of these Terms does not create a right to a refund, credit, or reimbursement and does not eliminate any outstanding payment obligation associated with a fixed-price purchase or financing arrangement, except where otherwise required by applicable law.

Suspension, termination, or closure of an account may also result in loss of access to User Content, notes, saved items, progress information, and other account-based features, subject to the Company's Privacy Policy, applicable retention practices, and applicable law.

14. Disclaimers

To the maximum extent permitted by applicable law, the Platform and Services are provided on an “as is” and “as available” basis. The Company does not warrant that the Services will be uninterrupted, error-free, completely accurate, secure from every possible threat, or suitable for any particular trading strategy, financial objective, or individual purpose.

Information provided through the Services may be based on market conditions, third-party data, or circumstances that can change without notice. You are responsible for independently evaluating information before relying upon it.

Platform storage, progress tracking, notes, bookmarks, saved items, and similar account features are provided as convenience features and are not guaranteed as permanent storage or backup services.

Nothing in these Terms excludes any warranty or other right that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its owners, officers, employees, contractors, mentors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Platform or Services.

This includes, without limitation, losses arising from:

Trading or investment decisions

Lost profits, trading capital, or business opportunities
Proprietary trading evaluation fees, account losses, or missed payouts
Reliance on educational content, market commentary, or third-party information
Loss of data, User Content, notes, saved information, or access
Third-party platform outages, failures, or interruptions
Unauthorized use of an account resulting from your failure to protect your credentials

Trading or investment decisions

Lost profits, trading capital, or business opportunities
Proprietary trading evaluation fees, account losses, or missed payouts
Reliance on educational content, market commentary, or third-party information
Loss of data, User Content, notes, saved information, or access
Third-party platform outages, failures, or interruptions
Unauthorized use of an account resulting from your failure to protect your credentials

Trading or investment decisions

Lost profits, trading capital, or business opportunities
Proprietary trading evaluation fees, account losses, or missed payouts
Reliance on educational content, market commentary, or third-party information
Loss of data, User Content, notes, saved information, or access
Third-party platform outages, failures, or interruptions
Unauthorized use of an account resulting from your failure to protect your credentials

To the maximum extent permitted by applicable law, the Company's aggregate liability arising from or relating to a Paid Service will not exceed the amount you actually paid for the particular Service giving rise to the claim. For Services provided without charge, the Company will have no monetary liability arising from or relating to your access to or use of those Services.

Nothing in this section limits or excludes liability that cannot lawfully be limited or excluded.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company and its owners, officers, employees, contractors, mentors, and agents from third-party claims, liabilities, losses, damages, or reasonable expenses arising from your unlawful use of the Platform or Services, material violation of these Terms, infringement of another person's rights, unauthorized User Content, or unauthorized use or distribution of Company materials.

17. Privacy

The Company's collection, use, disclosure, retention, and handling of personal information are governed by the Privacy Policy, which is incorporated into these Terms by reference.

Third-party platforms used in connection with the Services may separately collect or process information under their own privacy policies and terms.

18. Governing Law and Disputes

These Terms and any dispute arising from or relating to the Platform or Services will be governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where mandatory consumer law provides otherwise.

Before initiating formal legal proceedings against the Company, you agree to contact the Company and provide a reasonable opportunity to resolve the dispute informally. If the dispute cannot be resolved, you agree that the applicable state courts located in Pinellas County, Florida, or the applicable federal court for that jurisdiction, will have exclusive jurisdiction and venue over the dispute, unless applicable law requires otherwise.

Nothing in this section limits any legal right or remedy that cannot lawfully be waived.

19. General Terms

These Terms, together with the Privacy Policy, the Return Policy where applicable, applicable checkout terms, and any additional written agreement governing a specific Service, constitute the agreement between you and the Company concerning the Platform and Services.

If a purchase-specific term presented at checkout conflicts with these Terms, the purchase-specific term will control solely with respect to that particular Paid Service. The Return Policy will control with respect to refunds, cancellations, and related payment matters.

If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect. The Company's failure to enforce a provision does not waive its right to enforce that provision later.

You may not assign or transfer your rights under these Terms without the Company's prior written consent. The Company may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other transfer of the applicable business.

Provisions that by their nature should survive termination, including provisions concerning payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will remain in effect after your account or access ends.

The Company may update these Terms from time to time. Revised Terms will be posted with an updated effective date and will apply prospectively unless otherwise permitted or required by law. Where required, material changes will be communicated to affected users.
